- 3. Authority to Contract: You represent that you have the legal authority to enter into this agreement and bind any organization on whose behalf you are acting.
- 4. Intellectual Property Rights: You warrant that you own or have proper licenses for any intellectual property you provide to us for merchandise development.
- 5. Third-Party Rights: You confirm that your use of our services does not infringe upon the rights of any third party.
Conduct Requirements
We expect all users to maintain professional standards of conduct:
- • Communicate respectfully and professionally with our team and partners
- • Respond to inquiries and requests for information in a timely manner
- • Honor commitments made during the course of projects
- • Refrain from actions that could damage our reputation or business relationships
- • Maintain confidentiality of proprietary information shared during our collaboration
Content Guidelines and Restrictions
When providing content or materials for merchandise development:
- • Content must not contain offensive, defamatory, or discriminatory material
- • Materials should not violate any intellectual property rights

Age Requirements

By using our services, you represent and warrant that you meet these age requirements. If you are accessing our services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms and Conditions.

Limitation of Liability
To the fullest extent permitted by law:
- • Merch Hub and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- • We are not liable for loss of profits, revenue, data, or other intangible losses
- • Our total liability for any claims arising from these terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim
- • Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages, so these limitations may not apply to you
Consequential Damages Exclusion
We specifically disclaim liability for the following types of damages:
- • Business interruption or loss of business opportunities
- • Loss of goodwill or reputation damage
- • Failure to realize expected merchandise sales or profits
- • Cost of substitute services or products
- • Any damages arising from third-party actions or market conditions
Indemnification
You agree to indemnify, defend, and hold harmless Merch Hub and our affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- • Your violation of these Terms and Conditions
- • Your infringement of any intellectual property or other rights of third parties
- • Content or materials you provide to us
- • Your misuse of our services or breach of applicable laws
- • Any negligent or wrongful conduct on your part
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, supply chain disruptions, or failures of third-party services or suppliers. In such events, the affected party's obligations will be suspended for the duration of the force majeure event.
Legal Information and Dispute Resolution
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. You agree that:
- • Any legal action or proceeding arising from these terms shall be brought exclusively in the federal or state courts located in Cook County, Illinois
- • You consent to the personal jurisdiction of these courts
- • You waive any objection to venue in these courts
- • The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded
Dispute Resolution Procedures
Before initiating formal legal proceedings, we encourage the following approach to resolving disputes:
- Step 1: Informal Negotiation: Contact us directly to discuss the issue and attempt to reach an amicable resolution. Many disputes can be resolved through good-faith communication.
- Step 2: Mediation: If informal negotiation fails, the parties may agree to non-binding mediation with a mutually acceptable mediator.
- Step 3: Formal Proceedings: If mediation is unsuccessful or declined, either party may pursue legal remedies through the courts specified above.
You agree to make a good-faith effort to resolve disputes informally before pursuing formal legal action.
Severability Clause
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provisions, which shall remain in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any specific project agreements, constitute the entire agreement between you and Merch Hub regarding the use of our services. They supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us. No modification, amendment, or waiver of any provision of these terms shall be effective unless in writing and signed by both parties.
Waiver
No waiver by Merch Hub of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these terms does not constitute a waiver of such right or provision. All waivers must be in writing and signed by an authorized representative of Merch Hub.
Assignment
You may not assign, transfer, or delegate these Terms and Conditions or your rights and obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision shall be void. We may assign these terms at any time without restriction. These terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
Terms Modification Policy
We reserve the right to modify these Terms and Conditions at any time:
- • Changes will be posted on this page with an updated "Last Updated" date
- • For material changes, we will provide notice via email or prominent website notice
- • Your continued use of our services after changes become effective constitutes acceptance of the modified terms

Additional Provisions
Relationship of Parties
Nothing in these Terms and Conditions shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Merch Hub. Neither party has the authority to bind the other or to incur obligations on behalf of the other without prior written consent. We act as an independent contractor in providing our services.
Survival
The following provisions shall survive termination or expiration of these Terms and Conditions: indemnification obligations, limitation of liability, intellectual property rights, governing law and jurisdiction, and any other provisions that by their nature should survive termination.

Any notices or communications required or permitted under these Terms and Conditions shall be in writing and delivered by email to the address provided during registration or to info@mer-ch-hub.com for notices to Merch Hub. Notices shall be deemed given when delivered to the email address provided. You are responsible for keeping your contact information current.
